Terms of trade

These terms apply to wholesale supply by M H INDEPENDENT LIMITED (“we”). They apply to trade customers only. They are not consumer terms, and we do not sell to the general public.

1. The business

We are M H INDEPENDENT LIMITED, company number 17258259, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ. The director is Matthew Harris.

2. Trade only

By placing an order you confirm that you are buying in the course of a business. Distance selling and consumer cancellation rights do not apply.

3. How orders are made

There is no online checkout. Quotes may be given by phone or email. A contract is formed when we confirm the order, usually by phone or return email, including the items, quantities, price and an agreed delivery arrangement.

Stock is not guaranteed until it is confirmed. If an item is unavailable after a quote, we will say so and will not substitute without your agreement.

4. Price and VAT

Prices are as quoted. Quotes are valid for the period stated, or seven days if none is stated. If we are VAT registered at the time of supply, VAT will be added at the prevailing rate and shown on the invoice. We do not publish a VAT number on this site unless and until we have one.

5. Payment

Payment terms are stated on the quote or invoice. Until an account is agreed, we may ask for payment before dispatch. Title in the goods remains with us until the invoice is paid in full.

6. Delivery

Delivery is arranged to the address you give us. Dates we give are estimates unless we have agreed a date in writing. You are responsible for access, receiving the goods and checking the count on arrival. Shortages or damage should be reported promptly, and in any event within three working days of delivery.

7. Returns

We do not operate a sale-or-return arrangement. Faulty or incorrectly supplied goods will be replaced or refunded as appropriate once we have had a chance to inspect. Opened consumables that were supplied as ordered are not returnable.

8. Liability

We are responsible for supplying the goods described in the confirmed order, in the quantity agreed, and for arranging dispatch with reasonable care. We are not liable for loss of profit, loss of business, or other indirect loss. Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.

10. Law

These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
